Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", "Client") and Citation North ("we", "us", "our", "Citation North"), a business operating in Vancouver, British Columbia, Canada.

By accessing or using our website at citationnorth.ca, using our free tools, submitting a contact form, or purchasing any of our professional services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not use our website or services. If you are entering into these Terms on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.

Use of Website

Permitted Use

You may use the Citation North website for lawful purposes and in accordance with these Terms. You may access information about our services, use our free tools as intended, and contact us through the provided channels.

Prohibited Activities

You must not use our website to:

• Violate any applicable federal, provincial, or local law or regulation
• Transmit any unsolicited or unauthorised advertising or promotional material
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Engage in any conduct that restricts or inhibits any person's use or enjoyment of the website
• Attempt to gain unauthorised access to any portion of the website or its related systems
• Use automated means (bots, scrapers, crawlers) to extract data from the website without our prior written consent
• Upload or transmit viruses, malware, or any other malicious code
• Collect personal information of other users without their consent

Website Availability

We do not guarantee that our website will be available at all times. We may suspend, withdraw, or restrict access to all or part of our website for business, operational, or technical reasons without notice.

Third-Party Links

Our website may contain links to third-party websites. We have no control over the content, privacy policies, or practices of those sites and accept no responsibility for them. We encourage you to review the terms and privacy policies of any third-party sites you visit.

Our Services

Service Descriptions

Citation North provides Generative Engine Optimization (GEO) services to Canadian professional services firms. Our current service offerings include:

• Free AI Visibility Check: A complimentary, indicative tool that provides a simulated estimate of a firm's AI visibility. Results are based on a sample of test queries and are for illustrative purposes only — not a comprehensive audit.
• AI Visibility Snapshot: A comprehensive audit scoring AI visibility across 15 queries and 4 tiers, run across multiple AI platforms, delivered as a written report within 2 business days.
• AI Foundation Sprint: A one-time, 4–6 week implementation engagement covering strategy, website schema, content, and initial GEO foundations.
• AI Visibility Retainer: Ongoing monthly GEO management, scoring, content, and strategy.
• AI Authority Programme: Premium tier including all Retainer deliverables plus media placements, thought leadership, and category dominance strategy.

Service Engagement

Paid services are confirmed only upon receipt of a signed service agreement or purchase confirmation and receipt of the applicable payment. We reserve the right to decline any service engagement at our discretion.

Deliverables and Timelines

Deliverables, timelines, and scope of work are defined in the applicable service agreement. Timelines are estimates and may vary based on the complexity of the engagement and client responsiveness. We will communicate any material delays promptly.

Client Cooperation

The effectiveness of our services depends in part on the Client providing accurate information, timely access to required accounts and materials, and reasonable responsiveness to our communications. Delays caused by insufficient client cooperation may affect deliverable timelines and outcomes.

Section 4

Pricing and Payment

Currency

All prices listed on our website and in our service agreements are in Canadian dollars (CAD) unless otherwise stated.

Pricing Changes

Prices for our services are subject to change. We will provide reasonable notice of any price changes for ongoing engagements. Price changes do not affect existing, signed service agreements during their current term.

Payment Terms

Payment terms are set out in the applicable service agreement. In the absence of a specific agreement:

• One-time services (Snapshot, Sprint) are payable in full prior to commencement of work.
• Monthly retainer services are invoiced monthly in advance.
• Payment is due within 14 days of invoice date unless otherwise agreed in writing.

Late Payment

We reserve the right to suspend services on accounts where payment is overdue by more than 30 days, and to charge interest on overdue amounts at the rate of 1.5% per month (18% per annum).

Refunds

Due to the nature of our professional services (which involve time, research, and proprietary methodology), all payments are generally non-refundable once work has commenced. If you have a concern about a specific deliverable, please contact us at hello@citationnorth.ca and we will work to resolve it in good faith.

Taxes

Prices are exclusive of applicable taxes unless stated otherwise. GST and/or HST will be applied where required by law.

Section 5

Intellectual Property

Our Intellectual Property

The Citation North website and all of its content — including but not limited to text, graphics, logos, icons, images, audio clips, data compilations, and software — are owned by Citation North or our licensors and are protected by applicable Canadian and international copyright, trademark, and intellectual property laws.

The Citation North name, wordmark, methodology, scoring framework, and service names (including "AI Visibility Snapshot", "AI Foundation Sprint", "AI Visibility Retainer", and "AI Authority Programme") are proprietary to Citation North.

Permitted Use of Our Content

You may view, download, and print content from our website for your own personal, non-commercial informational use only. You must not:

• Republish, sell, or sublicense any content from this website
• Reproduce, duplicate, or copy material for commercial purposes
• Edit or otherwise modify any of the material on this website
• Use our content in any way that suggests an endorsement or association with Citation North without our prior written consent

Client Deliverables

Upon receipt of full payment for a service engagement, Citation North grants the Client a non-exclusive licence to use the deliverables (reports, documents, content) created for the Client for their internal business purposes. Citation North retains ownership of the underlying methodology, frameworks, tools, and any pre-existing intellectual property used or developed in the course of the engagement.

Client Materials

You retain ownership of any materials, information, or content you provide to Citation North in connection with a service engagement. By providing such materials, you grant Citation North a limited licence to use them solely for the purpose of delivering the agreed services.

Section 6

User Responsibilities

Accuracy of Information

You are responsible for ensuring that any information you provide to Citation North — including through forms, emails, or during service engagements — is accurate, complete, and up to date. Citation North is not liable for outcomes resulting from inaccurate or incomplete information provided by you.

Account and Access Security

If you provide Citation North with access to third-party accounts (e.g., Google Business Profile, website analytics, CMS) as part of a service engagement, you are responsible for maintaining the security of those accounts. You must notify us immediately of any unauthorised use or security breach.

Compliance with Laws

You are responsible for ensuring that your use of our services complies with all applicable laws and regulations, including (where applicable) Law Society advertising rules, professional regulatory requirements, and PIPEDA.

Communications

You agree to receive service-related communications from Citation North by email and such other channels as agreed. You may update your contact preferences by notifying us in writing.

Disclaimers

No Guarantee of Results

Generative Engine Optimization is an emerging and evolving discipline. While Citation North employs a rigorous, proprietary methodology, we cannot guarantee specific outcomes, including any particular AI citation rate, score, ranking, or revenue impact. AI platforms change their models, training data, and response behaviours regularly and outside our control.

Free AI Visibility Check

The Free AI Visibility Check tool provides simulated, indicative results for illustrative purposes only. Results are generated client-side and do not represent actual real-time queries to AI platforms. The tool is provided "as is" and should not be relied upon as a definitive assessment of your firm's AI visibility. The AI Visibility Snapshot provides a comprehensive, methodology-based audit.

Website Information

Information on our website is provided for general informational purposes and may not reflect the most current developments in GEO or AI platforms. We make no warranty as to the accuracy, completeness, or fitness for purpose of any information on this website.

"As Is" Basis

Our website and free tools are provided on an "as is" and "as available" basis without any warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by applicable law.

Section 8

Limitation of Liability

To the fullest extent permitted by applicable law in the Province of British Columbia and under Canadian federal law:

• Citation North's total aggregate liability to you for any claim arising out of or relating to these Terms or our services, whether in contract, tort, or otherwise, shall not exceed the total fees paid by you to Citation North in the three (3) months immediately preceding the claim.
• Citation North shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of business, or loss of goodwill, even if Citation North has been advised of the possibility of such damages.
• Citation North is not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including changes to AI platform algorithms, model training updates, or third-party service disruptions.

Nothing in these Terms limits or excludes liability for fraud, gross negligence, or any other liability that cannot be limited or excluded under applicable Canadian law.

Section 9

Indemnification

You agree to indemnify, defend, and hold harmless Citation North and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, judgements, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the website or services in a manner not authorised by these Terms
• Any inaccurate or false information you provide to Citation North
• Your violation of any applicable law or the rights of a third party

Section 10

Governing Law and Jurisdiction

These Terms and any dispute arising out of or relating to them or to our services shall be governed by and construed in accordance with the laws of the Province of British Columbia and the applicable federal laws of Canada, without regard to conflict of law principles.

You agree that any legal proceedings arising out of or relating to these Terms or our services shall be brought exclusively in the courts of the Province of British Columbia, Canada, and you irrevocably submit to the jurisdiction of those courts.

Notwithstanding the foregoing, Citation North may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or other proprietary rights.

Dispute Resolution

Before initiating formal legal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation. If a dispute cannot be resolved through negotiation within 30 days, either party may pursue their available legal remedies.

Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Effective Date" at the top of this page. For existing clients with active service agreements, material changes to Terms that affect those agreements will be communicated directly by email with reasonable notice.

Your continued use of our website or services after any changes constitutes your acceptance of the updated Terms. If you do not agree with the updated Terms, you must cease using our website and contact us to discuss your service engagement.
